A- Entity Types
Choosing an entity type is usually dependent on several factors, which include its purpose, minimum capital, number of partners and other elements that compose the entity itself.
The most common forms of business entities are:
1- LIMITED LIABILITY COMPANY
A limited liability company is composed of a limited number of partners and has a minimal capital.
Liability of a partner is limited to the value of his parts in the Company.
2-JOINT STOCK COMPANY
This type of entities is generally formed between a larger number of shareholders and requires a higher capital.
Liability of a shareholder is limited to the value of the shares he holds.
3- HOLDING COMPANY
The purpose of a Holding Company is generally limited to owning and managing companies and lending to companies they own.
4- OFFSHORE COMPANIES
Offshore companies operate solely outside the territory of incorporation.
Offshore companies are subject to limited taxes (flat annual tax of 1 million LBP /666 USD in Lebanon, 5% when selling to onshore clients in the UAE) and can benefit from bank secrecy policies and double taxation laws.
5- COMMERCIAL AGENCY
A commercial agent usually supplies a service or product on behalf of his principal.
Termination of an exclusive agency agreement usually results in compensations to the Agent.
6- BRANCHES OF FOREIGN COMPANIES
Foreign companies are authorized to own a local branch which may undertake all commercial activities except those exclusively reserved for the nationals or requiring a particular legal form.
